I didn't see any error messages, and my card was still listed when I type 'ifconfig', but I could not ping my router. I reverted back to the kernel from 'release' and everything worked fine again.

This might be related to a named problem. When tried to named when running 2.6.12.2, I got a message about a kernel module called 'capset' being required. This module does not exist in /lib/module/$kernelver. I am sorry I do not have the exact message, but I had to get the server running, and the message was not in the logs.

hi just read that there was an upgrade for eth 8139cp module on .3 kernel, perhaps that fixes the problem

I dont know if you have changed the .config or not. But if you have; Try enabling "Local APIC support on uniprocessors" (this is default on SMP kernel)
