pacman creates a .pacnew file identical to an existing
one.
upgrading initscripts... warning: extracting /etc/rc.conf as /etc/rc.conf.pacnew warning: extracting /etc/rc.local as /etc/rc.local.pacnew rc.conf is changed, so .pacnew is fine. but: /etc/# md5sum rc.local* 10d015f35686314cd37f24683dfd1f79 rc.local 10d015f35686314cd37f24683dfd1f79 rc.local.pacnew rc.local is identical. |

It's probably in your NoUpgrade list in pacman.conf
